Terms and Conditions

These terms apply to all quotes, orders and agreements with Speedy Systems.

Article 1 — Definitions

  • Speedy Systems: the business Speedy Systems, registered with the Chamber of Commerce under number 42164890, VAT number NL005549895B04, established in the Netherlands.
  • Customer: the natural person or legal entity that requests a quote, places an order or enters into an agreement with Speedy Systems.
  • Services: the services offered by Speedy Systems, including websites, webshops, apps, custom software, hosting, SEO, AI solutions and consultancy.
  • Client portal: the online environment (reachable through the administration area of the website) where the customer can view their invoices and subscriptions.
  • Subscription: a recurring service (such as hosting or maintenance) that is invoiced periodically.
  • Agreement: the arrangement between Speedy Systems and the customer about one or more services.

Article 2 — Applicability

These terms apply to all quotes, offers, orders and agreements of and with Speedy Systems. When placing an order through the order page, the customer expressly confirms acceptance of these terms by ticking the designated checkbox. Deviations from these terms are only valid if Speedy Systems expressly confirms them in writing.

Article 3 — Quotes and requests

The customer can request a quote through the website. A quote is non-binding unless expressly stated otherwise and, where possible, contains an indication of the work, planning and costs. After receiving a quote request, Speedy Systems usually responds within 24 hours with a tailored proposal. A quote is based on the information provided by the customer; if that information changes, the proposal may be adjusted.

Article 4 — Formation of the agreement

An agreement is formed when the customer places and confirms an order through the order page, or when Speedy Systems expressly accepts an assignment. For an online order the customer selects their services, enters their details, creates a client-portal account (with a password of at least 12 characters) and accepts these terms. Immediately after placing the order the customer receives the invoice as a PDF by email.

Article 5 — Execution and additional work

Speedy Systems performs the agreed services to the best of its ability, based on the data and wishes supplied by the customer. If, during execution, additional work proves necessary that falls outside the original assignment (extra work), Speedy Systems agrees this with the customer in advance, including the consequences for price and planning. Work already performed is not undone.

Article 6 — Prices and payment

  • All prices exclude VAT, unless expressly stated otherwise.
  • After an order the customer immediately receives the invoice by email as a PDF. Payment is made through an online payment method (Mollie) or by bank transfer within the payment term stated on the invoice.
  • For a business customer within the EU (outside the Netherlands) with a valid VAT number, the VAT is reverse-charged; the invoice then shows 0% VAT with a note that the VAT is reverse-charged.
  • If a reseller referred the customer, the customer can enter a referral code; the associated discount is applied to the invoice.
  • In the event of late payment, the customer owes the statutory (commercial) interest from the due date without a notice of default being required, and the reasonable extrajudicial collection costs in accordance with the Dutch Debt Collection Costs Act are for the customer.

Article 7 — Subscriptions and recurring services

Recurring services such as hosting and maintenance are linked to the customer account as a subscription. Where available, the customer chooses monthly or yearly invoicing. A subscription continues until it is terminated. Termination of a subscription leaves already invoiced and owed instalments unaffected.

Article 8 — Client portal and account

When placing an order the customer creates a client-portal account. The customer is responsible for keeping their login details secret and for all use of their account. The customer chooses a password of at least 12 characters. Speedy Systems stores passwords encrypted (hashed). If the customer suspects abuse of their account, they inform Speedy Systems without delay.

Article 9 — Hosting

For hosting services the following applies, as published on the website:

  • An uptime guarantee of 99.9%.
  • Daily backups.
  • SSL certificates included.
  • 24/7 monitoring.
  • Free migration when switching over.

The customer refrains from use that endangers the stability or security of the shared infrastructure. In case of abuse or a legal obligation, Speedy Systems may take measures, including temporarily limiting the service.

Article 10 — Intellectual property

Unless expressly agreed otherwise, the intellectual property in software, designs and systems developed by Speedy Systems rests with Speedy Systems or its licensors. The customer obtains the right of use necessary for the agreed purpose. Materials supplied by the customer (such as texts, images and corporate identity) remain the property of the customer; the customer guarantees that they may supply these.

Article 11 — Right of withdrawal

For a consumer who concludes an agreement at a distance (online), the statutory 14-day cooling-off period applies, during which the agreement can be cancelled without giving a reason. This right of withdrawal does not apply to work that, at the customer's request, has been fully performed before the end of the cooling-off period, nor to services or products that are clearly personal in nature or that are realised on the basis of the customer's specific choices (custom work). For business customers no statutory right of withdrawal applies.

Article 12 — Liability

Speedy Systems is not liable for indirect damage, such as consequential damage, lost profit or data loss, insofar as that is not attributable to intent or deliberate recklessness of Speedy Systems. The liability of Speedy Systems is, except in the case of intent or deliberate recklessness, limited and can in any event not be lower than mandatory Dutch law allows. These limitations leave the statutory rights of a consumer unaffected.

Article 13 — Force majeure

Force majeure means any circumstance beyond the control of Speedy Systems that makes performance temporarily or permanently impossible, including failures at third parties (such as the payment provider or a network provider), failure of power or networks, and legal measures. During force majeure the obligations of Speedy Systems are suspended; where possible a reasonable alternative solution is offered.

Article 14 — Suspension and termination

Speedy Systems may temporarily suspend the performance of services or terminate the agreement when the customer fails to meet their obligations, when payment is not made, or when this is necessary on grounds of security, abuse or a legal obligation. Work already performed and instalments owed remain payable.

Article 15 — Complaints and disputes

Complaints about the performance of an agreement can be reported via info@speedysystems.eu. Speedy Systems handles complaints carefully and confirms receipt. Dutch law applies to all agreements. Disputes are submitted to the competent court in the Netherlands.

Article 16 — Changes and contact

Speedy Systems may adjust these terms. The current version is always on this page and applies from the moment of publication. Questions about these terms can be addressed to Speedy Systems, KvK 42164890, via info@speedysystems.eu or +31 (0)6 57006672.
